Terms of Service

These Terms of Service ("Terms") govern access to and use of the EUFactura website and application (the "Service"), operated by Zarnitech Capital SL, a company registered in Spain with Tax ID (NIF) B24963803, registered address Bulevar Príncipe Alfonso Hohenlohe, Urbanización Carolina Park, Edificio Aries, oficina 41, 29602 Marbella (Málaga), Spain ("EUFactura", "we", "us"). By creating an account or otherwise using the Service, you (and, if you act on behalf of a company, that company) agree to these Terms.

This is a real, complete set of terms prepared to reflect the Service as built today. It has not been reviewed by an external lawyer; we recommend professional legal review before relying on it for a specific dispute, and we will update it as the Service evolves.

1. Who can use the Service

EUFactura is offered to businesses, sole traders, and professionals acting in a business or professional capacity — not to consumers. By using the Service you confirm that you are at least 18 years old, are acting for a business purpose, and (if you create an organization on behalf of a company) have authority to bind that company to these Terms.

2. What the Service does — and doesn't — do

EUFactura lets you and your team:

• Register an organization, add one or more companies, and manage user roles;
• Add customers, look them up via supported public company/VAT registries, and validate EU VAT numbers via VIES;
• Create catalog items, quotes, and invoices, receive VAT-treatment suggestions, and issue invoices with a sequential legal number and a generated PDF;
• Email invoices, let recipients view them on a secure page, and record payments against them;
• Schedule recurring invoices, send automatic payment reminders, and give your customers a self-service portal to view and download their documents;
• Optionally accept online payments for your invoices through your own Stripe account;
• Issue credit notes to correct issued invoices;
• Use an optional AI assistant to help draft quotes and invoices, on paid plans;
• Export organization data and view an audit trail of key actions.

The Service does not file or submit anything to tax authorities on your behalf (for example, Spain's VERI*FACTU/AEAT systems, or Peppol e-invoicing networks) — these are not yet available. VAT-treatment guidance and compliance checks the Service shows you are decision support, clearly labeled (e.g. "Suggested", "Validated", "Not required") — they are not tax, legal, or accounting advice, and you remain responsible for the correctness of your invoices and for your own tax and regulatory compliance. If in doubt, consult a qualified professional.

Once an invoice is issued, its legal content (parties, line items, amounts, tax decisions) is immutable — corrections are made through credit notes, never by silently editing an issued invoice. This protects the integrity of your own records as much as ours.

3. Accounts and organizations

You are responsible for the accuracy of the information you provide, for keeping your login credentials confidential, and for all activity under your account. Within an organization, roles (owner, admin, member, accountant) determine what each user can see and do — the organization owner is responsible for assigning roles appropriately, including who can manage billing.

4. Plans, billing, and payment

• EUFactura offers a Free plan and paid Solo, Business, and Scale plans, each with its own limits and features, described in the app and on our pricing page. We may change plan names, limits, or features prospectively; we will not reduce what a paid plan includes without reasonable notice.
• Paid plans are billed monthly or annually in advance, and renew automatically at the end of each period unless cancelled before renewal. There is no free trial on paid plans — a paid subscription starts, and is charged, immediately upon checkout.
• Payments are processed by Stripe. By subscribing, you also agree to Stripe's own terms governing the payment method you provide. We do not store your full card details.
• Online invoice payments (optional): if you connect your own Stripe account, payments made by your customers are processed by Stripe directly into that account, under Stripe's own connected-account terms between you and Stripe. EUFactura never holds those funds, is not a party to those payments, and currently charges no fee on them; refunds, chargebacks and disputes are handled through Stripe.
• Price guarantee: the price and plan terms in effect when you subscribe (or last renewed at a given price) are locked for 12 months from that date, even if our published prices change during that period. After 12 months, we will give you at least 30 days' notice by email before a price change takes effect on your next renewal; continuing your subscription past that date means you accept the new price. This guarantee applies to the price itself — it does not prevent us from changing what a plan includes, per the point above.
• You can cancel or change your plan at any time from Billing settings; changes take effect per the options offered there (typically at the end of the current billing period for downgrades, or via Stripe's standard proration for upgrades). If you downgrade or your subscription lapses to a plan with lower limits than your current usage (e.g. more companies than the new plan allows), some actions may be blocked until you are back within the new plan's limits; we will not delete your existing data solely because of this.
• Fees are exclusive of any applicable taxes, which we will charge in addition where required by law.
• Failure to pay may result in suspension of paid features and reversion toward the Free plan after a reasonable grace period.

5. Acceptable use

You agree not to:

• Use the Service to create fraudulent, deceptive, or knowingly false invoices, quotes, or business records;
• Attempt to access another organization's data, bypass usage limits, or interfere with the Service's operation or security;
• Use the AI assistant to attempt to make it act outside the specific, limited actions it is designed to perform;
• Reverse-engineer, resell, or use the Service to build a directly competing product, except as permitted by law;
• Use the Service in violation of applicable law, including data protection and tax law.

6. Your data

You retain ownership of the business and customer data you enter into EUFactura. You grant us the right to process it solely to provide, secure, and improve the Service, as described in our Privacy Policy and, where we act as your processor for personal data about your own customers, our Data Processing Agreement, which is incorporated into these Terms.

We will make a reasonable data export available to you while your account is active. As explained in our Privacy Policy, issued invoices and related accounting records are retained for the periods required by applicable commercial and tax law even after your account is closed.

7. Intellectual property

EUFactura and its underlying software, design, and branding are owned by Zarnitech Capital SL or our licensors. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to use the Service for your own business purposes. You may not copy, modify, or create derivative works of the Service itself.

8. Service availability

We aim to keep the Service available and reliable, but we do not currently offer a contractual uptime guarantee (SLA). We may perform maintenance, and features may change, be added, or be deprecated with reasonable notice for material changes affecting paid plans.

9. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose or non-infringement. We do not warrant that the Service will be error-free or uninterrupted, or that VAT/compliance suggestions will be accurate or complete for your specific circumstances — see §2.

10. Limitation of liability

To the maximum extent permitted by law, neither party will be liable to the other for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost data, arising out of or relating to these Terms or the Service. Each party's total aggregate liability arising out of or relating to these Terms will not exceed the fees you paid to us in the 12 months preceding the event giving rise to the claim (or €100 if you are on the Free plan). Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud, wilful misconduct, or death or personal injury caused by negligence.

11. Term and termination

These Terms apply for as long as you have an account. You may close your account at any time from Settings. We may suspend or terminate an account that materially breaches these Terms (including §5) or is significantly overdue on payment, with notice where reasonably practicable. On termination, your right to use the Service ends, but the data-retention terms in §6 and our Privacy Policy continue to apply to already-issued invoices and legally required records.

12. Changes to these Terms

We may update these Terms from time to time. We will update the effective date above and, for material changes, notify organization owners by email or in-app notice before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance.

13. Governing law and jurisdiction

These Terms are governed by Spanish law. Any dispute arising out of or relating to these Terms or the Service will be submitted to the courts of Málaga, Spain, without prejudice to any mandatory jurisdiction rule that applies to you under applicable law.
